Champion Referral Program Terms and Conditions

These Champion Referral Program Terms and Conditions (“Champion Referral Program Terms”) govern your participation in Pocket Prep’s “Champion” Referral Program (the “Program”). By participating in the Program, you agree to these Terms, which supplement any other agreements you have with Pocket Prep, including our Terms of Service and Privacy Policy. These Champion Referral Program Terms may be updated at any time. Continued participation in the Program after updates are posted to the Service constitutes acceptance of the revised Champion Referral Program Terms.

Overview. The Program allows eligible educators (“Champion(s)”) to invite their students, assistants, and other colleagues (“Referred Users”) to Pocket Prep’s services using a unique referral link. If a Referred User signs up for Pocket Prep’s services using the link and completes a Qualifying Action (as defined below), the Referred User receives an Award (as defined below), and the Champion receives an Award upon the requisite number of Referred Users completing a Qualifying Action. The Program is for use only by educators approved by Pocket Prep.

Eligibility to participate as a Champion:

You must be approved by Pocket Prep in writing as an educator Champion.
You must be a legal resident of the United States and at least 18 years old (or the age of majority in the state you reside).
You cannot have violated any Pocket Prep policies or these Terms previously.
You cannot be an employee, contractor, or related party of Pocket Prep.
You cannot be earning Awards under the Pocket Prep Affiliate Referral Program or Buddy Referral Program.
You must be authorized by your institution, if any, to participate and receive an Award.

To be eligible, Referred Users must:

Be at least 18 years old (or the age of majority in the state they reside) and a legal resident of the United States.
Sign up using the Champion’s unique link.
Not be the Champion or from the same household as the Champion.
Complete a Qualifying Action (as defined below).

We reserve the right to verify eligibility and disqualify participants at our discretion.

Referral Process:

Champions receive a unique referral link via their account dashboard.
Champions share the link with personal contacts only (e.g., via email, text, or social media).
Students must click the link, create an account, and complete a Qualifying Action.
- “Qualifying Action” means signing up for a paid Service within forty-five (45) days of clicking on the referral link.
- If the Referred User cancels or disputes the payment for the Service, the Qualifying Action will be disqualified, and no Award will be provided to the Champion or Referred User.
- Cookies must be enabled to track to the Qualifying Action.
The referral link will expire after 180 days, though new links can be generated if needed.
Pocket Prep will not award retroactive Awards for sign-ups without using the referral link.
There is no limit to the number of referrals per Champion.

Awards: “Award(s)” are defined as follows:

Referred User Award: Upon a Qualifying Action, Referred Users will receive either the award stated in a Program promotional offering that is in force at the time of the Qualifying Action, or if no other Program promotional offering is in force at the time of the Qualifying Action, a 20% discount on their first Service purchase, applied automatically at checkout.
- The Award is attributable only to the initial paid period selected at sign-up, is non-transferable, and is not redeemable for cash.
- If you are eligible for non-Program promotions by making a purchase using a referral link, or if multiple Program promotions are available, only the one promotion that results in the highest value awarded to you will be applied to your order.

Champion Award:
- So long as a Champion is in good standing under the Program, the Champion will have free premium access to the Pocket Prep product related to Champion’s educator position.
- Champions will receive 10 points for each Qualifying Action.
- Points may be redeemed by Champions or their institutions, as applicable, for student rewards (e.g. pizza parties, swag box, guest speakers, etc.) or institutional level rewards (e.g. program supply grants, equipment or tools, scholarships etc.), as chosen by the Champion during the onboarding process, made available by Pocket Prep or Pocket Prep’s third-party referral management platform, Impact.com, and the redemption of the points is subject to any terms of service between Referrers and Impact.com. For the avoidance of doubt, Champions may only choose student rewards or institutional rewards and cannot choose both.
- Points will not be issued until Qualifying Actions are confirmed, which may be up to 60 days following such Qualifying Actions.
- Champions must contact Pocket Prep via the e-mail below within one hundred and twenty (120) days after the date the Qualifying Action took place to address any errors in crediting of points. Pocket Prep’s good faith determination of the number of points earned will be final and binding.
- Any points accumulated by a Champion will automatically expire at the end of each calendar year.
- There are no membership fees associated with the Champion Referral Program or points. Points accumulated under the Champion Referral program are promotional and have no cash value. Points have no purpose or use except in exchange for benefits or privileges offered by Pocket Prep under the Champion Referral Program.
All Awards are non-transferable and are not redeemable for cash.
Champions are responsible for verifying their eligibility for an Award in accordance with the rules of any institution, licensing, or similar governing body to which Champions may belong.
Awards may be taxable as income to the Champion and/or its institution, as applicable, and participants are responsible for reporting and paying taxes or coordinating with their institution to do so. Champions and/or their institutions may be required to provide a form 1099 or similar tax documentation to Pocket Prep to claim an Award. Pocket Prep may report to tax authorities as required.
Pocket Prep may provide additional or substitute Awards or offers to all or select Program participants by notifying Program participants via email, push notification for mobile app users, or by posting the details of such benefits or promotions on its Service. Pocket Prep reserves the right to base such benefits or offers on any criteria in our sole discretion. You will not earn Awards in addition to specific promotional awards on Qualifying Actions that qualify for promotion-specific awards, unless otherwise explicitly stated in the specific promotion.
If any Award is unavailable for any reason, Pocket Prep may substitute an Award for equal or greater value, in its sole discretion.

Compliance with Pocket Prep and Social Media Guidelines. As a Champion, you must comply with all applicable laws, institutional policies, and social media platform terms and conditions and Pocket Prep’s Champion Referral Program Terms and any accompanying promotion terms. Failure to comply may result in disqualification, Award forfeiture, or account termination without liability.

Champions will indemnify, defend, and hold harmless Pocket Prep from any damages to Pocket Prep arising out of the Champion’s breach of the Champion Referral Program Terms, including but not limited to any violation of the following prohibited conduct:

Prohibited Conduct:

Do not spam, bulk email, or use automated systems/bots to distribute links.
Do not sell or transfer your referral link in any manner.
Do not post links for the general public, including but not limited to, on commercial sites, coupon aggregators, Reddit, Wikipedia, or other public forums.
Do not create fake accounts, self-refer, or misrepresent your connection to us.
Do not offer additional incentives other than those explicitly stated in these Champion Referral Program Terms and/or accompanying Program promotional terms.
Do not use paid search or paid social media ads to share a referral link.
Do not use, display, or manipulate Pocket Prep intellectual property (such as Pocket Prep’s logos, trademarks, and copyright-protected works) in any way, except as to identify yourself as a Pocket Prep user or Champion.
Do not create/register any domain names, programs, businesses, or social media handles or profiles that include the words “Pocket Prep” or any of Pocket Prep’s other trademarks or any words that are confusingly similar to those trademarks.
Do not promote the referral link with any offensive/abusive content or create fake websites or profiles or otherwise make any false or misleading statements to get anyone to use your link or code.
Do not use your referral link in any manner that violates the law or the rights of anyone else. You must obtain consent from any recipients before sharing links via text/email and comply with all applicable privacy laws (e.g., CAN-SPAM, GDPR if applicable).

Violations may lead to Award forfeiture, account suspension, or legal action.

General Terms.

Termination and Changes. We may terminate or modify the Program at any time without notice. We reserve the right to refuse to provide a benefit and to terminate the Program at any time, for any reason, even though termination may adversely affect your ability to receive and/or use the Program benefits. Your participation may be terminated for any violations of these Champion Referral Program Terms.
Conflict with Terms and Conditions. These Champion Referral Program Terms complement and incorporate by reference the Pocket Prep Terms of Service and Privacy Policy. In the event of any conflict between the Champion Referral Program Terms and the Terms of Service, the Champion Referral Program Terms will control with respect to the Program.

Disclaimer and Limitation on Liability. All Awards are provided “as is”, with no warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Pocket Prep is not liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from you participating in the Program, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Notwithstanding anything to the contrary herein, Pocket prep’s maximum liability arising out of or related to the program is the LESSER of the value of the award for which a participant is eligible or $500.
