Affiliate Referral Program Terms and Conditions

These Affiliate Referral Program Terms and Conditions (“Affiliate Referral Program Terms”) govern your participation in Pocket Prep’s Affiliate Referral Program (the “Program”). By participating in the Program, you agree to these Terms, which supplement any other agreements you have with Pocket Prep, including our Terms of Service and Privacy Policy. These Affiliate Referral Program Terms may be updated at any time. Continued participation in the Program after updates are posted to the Service constitutes acceptance of the revised Affiliate Referral Program Terms.

1. Overview

The Program allows eligible participants (“Referrers”) to invite friends, family, followers, affiliates, partners, and other contacts (“Referred Users”) to Pocket Prep’s services using a unique referral link. If a Referred User signs up for our services using the link and completes a Qualifying Action (as defined below), the Referrer receives an Award upon the requisite number of Referred Users completing a Qualifying Action. All referrals must comply with applicable laws and social media platform policies, including FTC endorsement guidelines.

Eligibility to participate as a Referrer:

You must be a legal resident of the United States and at least 18 years old (or the age of majority in the state you reside).
You cannot have violated any Pocket Prep policies or these Terms previously.
You cannot be an employee, contractor, or other related party of Pocket Prep.
You cannot be earning Awards under the Pocket Prep Buddy Referral Program or Champion Referral Program.

To be eligible, Referred Users must:

Be at least 18 years old (or the age of majority in the state they reside) and a legal resident of the United States.
Sign up using the Referrer’s unique link.
Not be the Referrer or from the same household as the Referrer.
Complete a Qualifying Action (as defined below).
We reserve the right to verify eligibility and disqualify participants at our discretion.

Referral Process:

Referrers receive a unique referral link via their account dashboard.
Referrers share the link with personal contacts only (e.g., via email, text, or social media).
Referred Users must click the link, create an account, and complete a Qualifying Action. “Qualifying Action” means signing up for a new paid Service within forty-five (45) days of clicking on the referral link. If the Referred Users cancel or dispute the payment for the Service, the Qualifying Action will be disqualified, and no Award will be provided to the Referrer. Referred Users’ Cookies must be enabled to track to the Qualifying Action.
The referral link will expire after 180 days, though new links can be generated if needed.
Pocket Prep will not award retroactive Awards for sign-ups without using the referral link.
There is no limit to the number of referrals per Referrer.

Awards:

Upon a Qualifying Action, Referrers will receive awards (“Award(s)”), based on tiers detailed as follows:

Starter: 15% of the price paid by the Referred User, net of taxes and fees, for the Qualifying Action to the extent applicable to the initial month of paid service and the initial renewal month of such paid service. $150 bonus for the 50^th Qualifying Action in any month
Growth 15% of the price paid by the Referred User, net of taxes and fees, for the Qualifying Action to the extent applicable to the initial month of paid service and the initial renewal month of such paid service. $150 bonus for the 20^th Qualifying Action in any month
Impact 20% of the price paid by the Referred User, net of taxes and fees, for the Qualifying Action to the extent applicable to the initial month of paid service and 15% of the price paid by the Referred User, net of taxes and fees, for the initial renewal month of such paid service. $150 bonus for the 20^th Qualifying Action in any month
Elite 20% of the price paid by the Referred User, net of taxes and fees, for the Qualifying Action to the extent applicable to the initial month of paid service and 15% of the price paid by the Referred User, net of taxes and fees, for the initial renewal month of such paid service. $250 bonus for the 20^th Qualifying Action in any month

All Referrers start at Starter. To move from Starter to Growth, you must produce 20 Qualifying Actions per month for three consecutive months. To move to Impact from Starter or Growth, you must produce 50 Qualifying Actions for three consecutive months. To move to Elite from any other tier, you must produce 100 Qualifying Actions per month for three consecutive months. Your account will be adjusted to move to the appropriate tier if you do not continue to maintain the production required to stay at a given tier, as described above.

Awards will be paid by PayPal or bank transfer as chosen by Referrer in the Program dashboard. If Referrer fails to provide payment information following written request from Pocket Prep, Referrer will forfeit any Awards not paid to Referrer within 12 months of Referrer earning the Award.

Awards are taxable as income to the Referrer, and participants are responsible for reporting and paying taxes. Referrers may be required to provide a form 1099 or similar tax documentation to Pocket Prep to claim an Award. Pocket Prep may report to tax authorities as required.

Pocket Prep may provide additional or substitute Awards or offers to all or select Program participants by notifying Program participants via email, push notification for mobile app users, or by posting the details of such benefits or promotions on its Service.

All Awards values are in United States dollars.

Awards earned under the Affiliate Referral Program are in lieu of and not in addition to any awards a Referrer may otherwise be eligible to earn through another referral program of Pocket Prep, including the Buddy Referral Program or Champion Referral Program.

2. Compliance with Pocket Prep, Federal Trade Commission (FTC), and Social Media Guidelines.

As a Referrer, you must comply with all applicable laws, including the FTC’s Endorsement Guides (16 CFR Part 255), which require truthful endorsements and clear disclosures of material connections. You must also comply with all social media platform terms and conditions and Pocket Prep’s Affiliate Referral Program Terms and any accompanying promotion terms.

Failure to comply may result in disqualification, Award forfeiture, or account termination without liability. More specifically, Referrers must:

Disclose Material Connections: Always disclose that you receive an award for successful referrals. Use clear, conspicuous language like: “I get a [$X] award if you sign up and purchase via my link. #ad” or “Sponsored: Use my link for a discount—you get a discount, and I earn a reward. #SponsoredByPocketPrep”.

Placement and Clarity: Disclosures must be “clear and conspicuous”—difficult to miss, easily understandable, and placed at the beginning of posts or messages (not buried in hashtags or “read more”). For videos/stories, include audible and visual disclosures (e.g., superimposed text and spoken statement).

Social Media Specifics: On platforms like Instagram, Twitter/X, or Facebook, use hashtags like #ad, #sponsored, or #paidpartnership at the start. Tag Pocket Prep if required by platform rules.

Honesty: Only endorse if you genuinely recommend our Service. Do not make unsubstantiated claims.

Monitoring and Liability: We may monitor referrals for compliance. You are liable for any violations, and Pocket Prep recommends reviewing FTC resources before sharing.

Prohibited Conduct:

Do not spam, bulk email, or use automated systems/bots to distribute links.
Do not sell or transfer your referral ink in any manner.
Do not post links for the general public, including but not limited to, on commercial sites, coupon aggregators, Reddit, Wikipedia, or other public forums.
Do not create fake accounts, self-refer, or misrepresent your connection to us.
Do not offer additional incentives other than those explicitly stated in these Affiliate Referral Program Terms and/or accompanying Program promotional terms.
Do not use paid search or paid social media ads to share a referral link.
Do not use, display, or manipulate Pocket Prep intellectual property (such as Pocket Prep’s logos, trademarks, and copyright-protected works) in any way, except as to identify yourself as a Pocket Prep user or referrer.
Do not create/register any domain names, programs, businesses, or social media handles or profiles that include the words “Pocket Prep” or any of Pocket Prep’s other trademarks or any words that are confusingly similar to those trademarks.
Do not promote the referral link with any offensive/abusive content or create fake websites or profiles or otherwise make any false or misleading statements to get anyone to use your link or code.
Do not use your referral link in any manner that violates the law or the rights of anyone else. You must obtain consent from any recipients before sharing links via text/email and comply with all applicable privacy laws (e.g., CAN-SPAM, GDPR if applicable).

Violations may lead to Award forfeiture, account suspension, or legal action.

Affiliates will indemnify, defend, and hold harmless Pocket Prep from any damages to Pocket Prep arising out of the Affiliate’s breach of the Affiliate Referral Program Terms, including but not limited to any violation of the foregoing prohibited conduct.

3. General Terms.

Termination and Changes.

We may terminate or modify the Program at any time without notice. We reserve the right to refuse to provide a benefit and to terminate the Program at any time, for any reason, even though termination may adversely affect your ability to receive and/or use the Program benefits. Your participation may be terminated for any violations of these Affiliate Referral Program Terms.

Conflict with Terms and Conditions. These Affiliate Referral Program Terms complement and incorporate by reference the Pocket Prep Terms of Service and Privacy Policy. In the event of any conflict between the Affiliate Referral Program Terms and the Terms of Service, the Affiliate Referral Program Terms will control with respect to the Program.

Disclaimer and Limitation on Liability.

All Awards are provided “as is”, with no warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Pocket Prep is not liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from you participating in the Program, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Notwithstanding anything to the contrary herein, Pocket prep’s maximum liability arising out of or related to the program is the LESSER of the value of the award for which a participant is eligible or $500.
